Welcome to SynIntel (“SynIntel”, “we”, “our”, or “us”), an Enterprise Intelligence Platform developed and operated by SynGrow Consulting Services Pvt. Ltd.
SynIntel provides AI-powered enterprise intelligence capabilities that help organizations transform business data, enterprise knowledge, operational context, and artificial intelligence into trusted, explainable, and decision-ready intelligence.
These Terms and Conditions (“Terms”) govern your access to and use of the SynIntel platform, including our websites, cloud services, APIs, applications, AI assistant, dashboards, insights, knowledge management capabilities, integrations, support services, and any other products or services provided by SynIntel.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable policies referenced herein.
1. General Information
SynIntel is designed for enterprise customers and may be deployed as:
- Multi-Tenant SaaS
- Private Cloud
- Virtual Private Cloud (VPC)
- Customer Managed Deployment
- On-Premises Deployment (where applicable)
The platform includes capabilities such as:
- Enterprise AI Assistant
- AI-Powered Insights
- Dashboard Generation
- Enterprise Search
- Knowledge Intelligence
- Decision Intelligence
- AI Agents
- Analytics
- Business Intelligence
- Workflow Automation
Purpose of these Terms
These Terms define the legal relationship between SynIntel and its customers regarding:
- Platform access
- Service usage
- Subscription rights
- Intellectual property
- Customer responsibilities
- AI usage
- Security
- Privacy
- Compliance
- Payment obligations
- Service limitations
- Liability
Relationship with Other Policies
These Terms should be read together with applicable SynIntel policies, including:
- Privacy Policy
- Acceptable Use Policy
- Responsible AI Policy
- Service Level Agreement (SLA)
- Data Processing Addendum (DPA)
- Cookie Policy
- Security & Trust Center documentation
- Subscription or Order Forms
- Enterprise Agreements
Where a separate enterprise agreement has been executed between SynIntel and a customer, that agreement shall prevail in the event of any conflict with these Terms.
Changes to the Services
SynIntel continuously improves its products and services.
Accordingly, we may introduce new features, modify existing functionality, enhance AI capabilities, retire obsolete features, or make changes necessary for security, legal, or operational reasons. Where commercially reasonable, customers will be notified of material changes that may significantly affect the Services.
2. Definitions
For purposes of these Terms, the following definitions apply.
Account
A registered identity that allows an authorized user to access SynIntel Services.
AI Services
All Artificial Intelligence capabilities provided through SynIntel, including AI Assistant, AI Insights, Dashboard Generation, Knowledge Search, AI Agents, Recommendations, Summarization, and Decision Intelligence.
AI Models
Large Language Models (LLMs), embedding models, reasoning models, machine learning models, or other AI technologies integrated into SynIntel.
Customer
The legal entity purchasing, subscribing to, evaluating, or otherwise authorized to use SynIntel Services.
Customer Data
Any information provided, uploaded, synchronized, connected, generated, or otherwise made available by the Customer while using SynIntel. Examples include:
- Business data
- Databases
- Documents
- Reports
- Dashboards
- AI prompts
- AI responses
- Knowledge repositories
- Metadata
- Configuration
- User information
Customer Data excludes SynIntel intellectual property and platform software.
Enterprise Knowledge
Business documents, manuals, policies, procedures, contracts, presentations, knowledge articles, FAQs, websites, repositories, and other customer-owned information used to provide AI-powered enterprise search and contextual intelligence.
Platform
The SynIntel software platform, including websites, APIs, cloud services, AI services, dashboards, administration portal, integrations, mobile applications, and related services.
Subscription
The commercial agreement granting a customer limited rights to access and use SynIntel Services during a specified subscription period.
Tenant
A logically isolated customer environment containing users, configurations, permissions, AI settings, dashboards, knowledge repositories, and business data.
Tenant Administrator
A customer-authorized individual responsible for managing users, permissions, integrations, AI settings, and tenant configuration.
User
Any individual authorized by a Customer to access SynIntel.
Services
All products, software, applications, APIs, AI capabilities, support, professional services, documentation, and related offerings provided by SynIntel.
Third-Party Services
Products, APIs, databases, cloud platforms, AI providers, or software operated by organizations other than SynIntel that may integrate with or be used by the Services.
3. Acceptance of Terms
Acceptance
By accessing, evaluating, subscribing to, or using SynIntel Services, you acknowledge that you have read, understood, and agree to comply with these Terms and all applicable policies incorporated by reference.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to these Terms.
Agreement Formation
These Terms become effective when:
- You access the Services;
- You create an account;
- You click an acceptance button;
- You otherwise use the Services.
- You execute an Order Form, Subscription Agreement, or Master Services Agreement;
Organizational Authority
Enterprise customers shall ensure that only authorized representatives accept these Terms on behalf of the organization. Individuals accepting these Terms represent that they possess all necessary authority to legally bind the Customer.
Updates to Terms
SynIntel may update these Terms periodically to reflect:
- Product enhancements
- New AI capabilities
- Regulatory changes
- Security improvements
- Operational requirements
Material updates will be communicated through the platform, website, or other appropriate communication channels. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.
Right to Refuse Service
SynIntel reserves the right to refuse access to the Services where:
- Applicable laws prohibit service delivery;
- Fraudulent or unlawful activity is suspected;
- Customer use presents unacceptable security or operational risk;
- Required contractual obligations cannot be satisfied.
4. Eligibility
Business Use
SynIntel is designed primarily for commercial, enterprise, government, educational, and organizational use. Individual consumer use may be supported only where expressly permitted.
Legal Capacity
Users must have the legal capacity to enter into binding agreements under the applicable laws of India. If using the Services on behalf of an organization, users must have authority to act for that organization.
Minimum Age
Users must meet the minimum legal age required under applicable law to enter into binding agreements. The Services are not intended for children.
Export Compliance
Customers agree to comply with all applicable export control laws, sanctions regulations, and trade restrictions governing the use of software, encryption technologies, and AI services. Customers shall not use SynIntel in jurisdictions where such use is prohibited by applicable law.
Restricted Activities
Customers may not access the Services where prohibited by applicable law or use the platform to support activities that violate sanctions, export controls, or other legal restrictions.
5. Account Registration
Account Creation
Customers must create an authorized account before accessing SynIntel Services. Registration requires accurate organizational and user information to establish identity, tenant ownership, and appropriate access privileges.
Identity Verification
SynIntel may verify user identities, organizational ownership, or administrative authority before enabling enterprise features, integrations, or privileged administrative capabilities. Additional verification may be required to prevent fraud or satisfy regulatory obligations.
User Credentials
Each user is responsible for maintaining the confidentiality of usernames, passwords, API keys, authentication tokens, and other credentials associated with their account. Credentials must not be shared with unauthorized individuals.
Single Sign-On (SSO)
Where supported, customers may integrate SynIntel with enterprise identity providers such as Microsoft Entra ID, Okta, LDAP, Active Directory, or other supported authentication systems. Customers remain responsible for managing user identities within their identity provider.
Multi-Factor Authentication (MFA)
SynIntel supports Multi-Factor Authentication to strengthen account security. Customers are encouraged to enable MFA for all privileged accounts and may require MFA through organizational security policies.
Account Security
Customers are responsible for:
- Maintaining accurate account information.
- Protecting authentication credentials.
- Managing user access.
- Promptly disabling accounts that are no longer authorized.
- Reporting suspected unauthorized access.
Account Recovery
SynIntel provides mechanisms for account recovery through verified identity procedures. Recovery methods may vary depending on the customer's authentication configuration and deployment model.
User Responsibilities
Users are responsible for:
- Using only authorized accounts.
- Providing accurate registration information.
- Complying with organizational policies.
- Protecting confidential information.
- Reporting security incidents promptly.
- Using the Services in accordance with these Terms and applicable laws.
Administrative Accounts
Tenant Administrators have elevated privileges that enable them to manage users, configurations, AI settings, integrations, and security policies. Customers are responsible for ensuring that administrative privileges are granted only to trusted and authorized personnel.
Account Suspension
SynIntel may temporarily suspend accounts where necessary to:
- Protect platform security.
- Investigate suspected fraud.
- Prevent unauthorized access.
- Comply with legal obligations.
- Enforce these Terms.
Where appropriate, customers will be notified of account suspensions and provided with information regarding remediation steps.
6. Subscription & Licensing
Subscription Model
SynIntel is offered through subscription-based licensing unless otherwise agreed in writing. Customer subscriptions define the scope of services, licensed features, deployment model, usage limits, and support entitlements. Subscription details are specified in the applicable Order Form, Subscription Agreement, Master Services Agreement (MSA), or other commercial agreement.
License Grant
Subject to these Terms and payment of applicable fees, SynIntel grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for the Customer's internal business operations during the active subscription period. No ownership rights are transferred under this license.
Subscription Plans
Depending on the purchased subscription, Customers may receive access to different platform capabilities, including but not limited to:
- AI Assistant
- AI Insights
- Dashboard Studio
- Knowledge Hub
- AI Agents
- Administration Portal
- API Access
- Enterprise Search
- Governance Features
- Security Features
- Premium Support
Available features may vary by subscription tier.
User Licensing
Subscriptions may include limits on:
- Named Users
- Concurrent Users
- Tenant Administrators
- API Users
- Service Accounts
Customers are responsible for ensuring that usage remains within purchased licensing limits.
AI Consumption
Certain subscription plans may include usage-based limits such as:
- AI Requests
- Token Consumption
- AI Model Usage
- Dashboard Generation
- Insight Generation
- Knowledge Processing
- Storage Capacity
- API Calls
Additional usage may incur charges in accordance with the customer's commercial agreement.
Trial Services
SynIntel may provide evaluation, beta, or trial environments with limited functionality. Trial Services are provided solely for evaluation purposes and may be modified, suspended, or discontinued at any time without notice. Unless otherwise agreed, trial environments are not intended for production workloads.
Subscription Renewal
Subscriptions renew in accordance with the applicable commercial agreement unless terminated by either party in accordance with those terms. Renewal pricing, service levels, and included features may be updated upon renewal, subject to applicable contractual commitments.
License Restrictions
Customers shall not:
- Rent or lease the Services
- Resell the Services without authorization
- Provide the Services as a managed service without written approval
- Remove proprietary notices
- Circumvent licensing controls
- Share licenses beyond purchased entitlements
7. Customer Responsibilities
Customers are responsible for ensuring that the Services are used securely, lawfully, and in accordance with applicable contractual and regulatory obligations.
User Management
Customers are responsible for creating, managing, reviewing, and removing user accounts within their tenant. Administrative access should be granted only to authorized personnel.
Data Accuracy
Customers are responsible for ensuring that information uploaded into SynIntel is accurate, complete, and appropriate for the intended business purpose. SynIntel does not independently verify the accuracy of Customer Data.
Data Classification
Customers should classify information according to their internal security and compliance policies before uploading or connecting data sources. This includes identifying confidential, regulated, or sensitive information.
AI Output Review
AI-generated responses are intended to assist decision-making. Customers remain responsible for reviewing and validating AI-generated content before relying on it for legal, financial, regulatory, operational, or other business-critical decisions.
Security Responsibilities
Customers should:
- Protect credentials
- Configure appropriate permissions
- Enable MFA where available
- Review audit logs
- Monitor authorized usage
- Maintain secure integrations
Compliance Responsibilities
Customers remain responsible for ensuring that their use of SynIntel complies with applicable laws, regulations, contractual obligations, and internal governance requirements.
Connected Systems
Customers are responsible for obtaining all necessary permissions before connecting third-party systems, databases, APIs, or knowledge repositories to SynIntel.
Backup Responsibilities
Where Customer Data originates from external systems, customers remain responsible for maintaining appropriate backup and disaster recovery procedures for those source systems.
8. Acceptable Use Policy
Customers agree to use SynIntel responsibly and only for lawful business purposes. The following activities are prohibited.
Illegal Activities
Using SynIntel to violate any applicable law, regulation, or governmental order.
Unauthorized Access
Attempting to gain unauthorized access to:
- Customer environments
- SynIntel infrastructure
- APIs
- Connected systems
- Other tenant data
Reverse Engineering
Except where expressly permitted by applicable law, customers may not:
- Reverse engineer
- Decompile
- Disassemble
- Copy
- Replicate
- Attempt to discover source code
Malicious Activities
Customers shall not:
- Upload malware
- Introduce viruses
- Disrupt platform operations
- Launch denial-of-service attacks
- Circumvent security controls
AI Abuse
Customers shall not intentionally use SynIntel to:
- Generate malicious code
- Produce harmful content
- Facilitate cybercrime
- Bypass security protections
- Create deceptive or fraudulent content
- Generate spam
Prompt Injection
Customers shall not intentionally attempt to manipulate AI behavior by submitting prompts designed to bypass governance controls, reveal confidential system instructions, or access unauthorized information.
Credential Abuse
Customers shall not share administrative credentials or attempt to impersonate another user or organization.
Excessive Usage
Customers shall not intentionally consume platform resources in a manner that disrupts service availability for other customers.
Intellectual Property Violations
Customers are responsible for ensuring that uploaded content does not infringe copyrights, trademarks, patents, trade secrets, or other intellectual property rights.
Monitoring & Enforcement
SynIntel reserves the right to investigate suspected violations of this Acceptable Use Policy and may suspend or terminate access where necessary to protect customers, the platform, or third parties.
9. AI Services & AI Limitations
SynIntel provides Artificial Intelligence capabilities designed to assist organizations in understanding enterprise information, generating insights, and supporting business decision-making. AI capabilities are intended to augment—not replace—human judgment.
AI Services
Depending on the subscription, SynIntel may provide:
- AI Assistants
- Enterprise Search
- Dashboard Generation
- Insight Generation
- AI Agents
- Document Summarization
- Root Cause Analysis
- Trend Analysis
- Decision Recommendations
- Workflow Assistance
AI-Generated Content
Responses generated by AI are based on the information available at the time of processing and may vary depending on:
- Customer Data
- Knowledge repositories
- Connected systems
- Selected AI model
- Prompt wording
- Platform configuration
Human Review
Customers should review AI-generated outputs before using them in business processes. AI-generated responses should not be relied upon without appropriate human oversight where accuracy is critical.
No Professional Advice
SynIntel does not provide legal, medical, accounting, tax, investment, or regulatory advice. Customers should consult qualified professionals before relying on AI-generated content for such purposes.
AI Hallucinations
Artificial Intelligence may occasionally generate inaccurate, incomplete, outdated, or fabricated information. Customers acknowledge these inherent limitations and agree to independently validate important outputs.
AI Availability
AI functionality depends on underlying AI providers and infrastructure. Certain models or capabilities may become unavailable, change, or be replaced over time due to provider updates, licensing, or technical considerations.
Customer Responsibility
Customers remain solely responsible for:
- Business decisions
- Operational actions
- Regulatory compliance
- AI-generated recommendations
- AI-assisted workflows
10. Customer Data
Customer Data is one of the most valuable assets entrusted to SynIntel. Customers retain ownership of all Customer Data processed through the Services.
Customer Ownership
Customers retain all rights, title, and interest in:
- Enterprise databases
- Documents
- Knowledge repositories
- Dashboards
- Reports
- AI conversations
- Generated outputs
- Business metadata
- Configuration
Nothing in these Terms transfers ownership of Customer Data to SynIntel.
Processing Rights
Customers grant SynIntel a limited right to process Customer Data solely for the purpose of providing the Services in accordance with these Terms and applicable contractual agreements.
Customer Instructions
SynIntel processes Customer Data based on:
- Customer configuration
- User actions
- Administrative settings
- Documented customer instructions
Customer Control
Customers remain responsible for:
- Selecting connected systems
- Managing permissions
- Configuring AI
- Managing retention
- Removing information
- Exporting data
Data Export
Where supported, customers may export Customer Data in available formats during the subscription period, subject to applicable contractual terms and technical limitations.
Data Deletion
Upon termination of Services, Customer Data may be deleted or returned in accordance with the applicable agreement, customer instructions, retention policies, and legal obligations.
Customer Representations
Customers represent that they have all necessary rights, permissions, and legal authority to upload, process, connect, and use Customer Data within SynIntel. Customers further represent that such use does not violate applicable laws, contractual obligations, or third-party rights.
11. Enterprise Knowledge
SynIntel enables organizations to securely connect, organize, search, and utilize enterprise knowledge to provide contextual, explainable, and decision-ready intelligence. Enterprise Knowledge remains the exclusive property of the Customer. SynIntel processes such information solely to deliver the Services requested by the Customer.
Knowledge Sources
Customers may connect or upload enterprise knowledge from supported repositories, including but not limited to:
- Microsoft SharePoint
- Confluence
- Notion
- Google Drive
- OneDrive
- Microsoft Office Documents
- PDF Documents
- Websites
- Wikis
- File Shares
- Knowledge Bases
- Cloud Storage
- Enterprise Content Management Systems
- Custom APIs
- Other supported repositories
Customers are responsible for ensuring they have appropriate authorization to connect and process such repositories.
Knowledge Processing
To provide enterprise intelligence capabilities, SynIntel may process enterprise knowledge by:
- Extracting text
- Classifying documents
- Generating metadata
- Creating vector embeddings
- Indexing content
- Chunking large documents
- Performing semantic analysis
- Creating searchable representations
These activities are performed solely for providing AI-powered search, assistants, insights, dashboards, and knowledge retrieval.
Knowledge Synchronization
Customers may configure synchronization schedules to keep connected repositories up to date. Synchronization options may include:
- Real-time synchronization
- Scheduled synchronization
- Manual synchronization
- Incremental updates
Customers remain responsible for managing source repositories and synchronization configurations.
Access Control
Enterprise Knowledge is accessed only according to customer-configured permissions. SynIntel respects customer-defined security boundaries, including:
- User Roles
- Department Permissions
- Group Membership
- Tenant Isolation
- Connected System Permissions
Users may only retrieve knowledge they are authorized to access.
Knowledge Ownership
All enterprise knowledge uploaded or synchronized into SynIntel remains the exclusive property of the Customer. Nothing in these Terms grants SynIntel ownership rights over Customer Knowledge.
Knowledge Removal
Customers may remove knowledge repositories, documents, or connected systems at any time. Following removal, SynIntel will process deletion requests according to applicable retention policies, contractual commitments, and system processing schedules.
12. Integrations & Third-Party Services
SynIntel is designed to integrate with enterprise applications, databases, cloud platforms, APIs, and AI providers to deliver unified enterprise intelligence. Integrations are enabled only upon customer authorization and configuration.

Customers are solely responsible for authorizing connections between SynIntel and third-party systems. Customers must ensure they possess all necessary rights, licenses, and permissions before connecting external systems.
Third-Party Terms
Third-party services are governed by the terms, conditions, and privacy policies of the respective providers. SynIntel is not responsible for the availability, functionality, or security practices of third-party services.
API Usage
Customers may access SynIntel through supported APIs. API usage may be subject to:

- Subscription Limits
- Usage Monitoring
API documentation may define additional technical requirements.
Integration Availability
Third-party integrations may change due to vendor updates, API changes, product retirement, or licensing changes. SynIntel reserves the right to modify or discontinue integrations where necessary.
13. AI Governance & Guardrails
SynIntel is designed with enterprise AI governance capabilities that help customers deploy Artificial Intelligence responsibly, securely, and in accordance with organizational policies. AI governance capabilities may vary depending on subscription, deployment model, and customer configuration.
Prompt Validation
SynIntel may validate prompts before AI processing to detect malformed requests, policy violations, or potentially unsafe instructions. Validation helps improve response quality while reducing misuse of AI capabilities.
Prompt Injection Protection
SynIntel implements configurable safeguards designed to detect and mitigate attempts to manipulate AI instructions or bypass system protections. Customers acknowledge that no security mechanism can eliminate all potential risks.
SQL/MQL Validation
Where AI generates SQL or MQL statements, SynIntel may validate generated queries before execution. Validation may include:
- Syntax validation
- Schema validation
- Business rule validation
- Query complexity checks
- Security policy verification
Read-Only Enforcement
Customers may configure policies restricting AI-generated database operations to read-only queries. Operations capable of modifying customer data may be restricted or require additional authorization.
Sensitive Data Protection
SynIntel supports configurable mechanisms to help identify and protect sensitive information, including:
- Personally Identifiable Information (PII)
- Protected Health Information (PHI)
- Payment Card Information (PCI)
- Confidential Business Information
- Customer-defined sensitive classifications
Role-Based AI Access
Customers may control access to AI capabilities using configurable role-based permissions. Permissions may govern access to:
- AI Assistants
- Insights
- Dashboard Generation
- Knowledge Search
- AI Agents
- Administration Functions
Explainability
Where supported, SynIntel may provide supporting information such as:
- Source references
- Supporting documents
- Confidence indicators
- Retrieved knowledge
- Executed queries
- Business reasoning
These capabilities are intended to improve transparency and user confidence.
Audit Logging
SynIntel may maintain audit records of AI interactions to support governance, compliance, troubleshooting, and security investigations. Audit information may include prompts, responses, model usage, timestamps, administrative actions, and related metadata.
Customer Governance
Customers remain responsible for configuring AI governance policies appropriate to their industry, regulatory obligations, and internal risk management requirements.
14. Intellectual Property
SynIntel and its licensors retain all rights, title, and interest in the Services, including software, documentation, technology, trademarks, copyrights, patents, trade secrets, and other intellectual property. Except as expressly stated in these Terms, no ownership rights are transferred to the Customer.

The following remain the exclusive property of SynIntel or its licensors:

- Platform Designs
Customer Intellectual Property
Customers retain ownership of:
- Customer Data
- Business Documents
- Knowledge Repositories
- Dashboards
- Reports
- AI Prompts
- Configuration
- Business Metadata
Nothing in these Terms transfers ownership of Customer intellectual property.
Feedback
Customers may voluntarily provide suggestions, ideas, enhancement requests, or product feedback. Unless otherwise agreed in writing, SynIntel may use such feedback to improve its products without obligation or compensation.
AI Generated Content
Ownership of AI-generated outputs may depend upon Customer Data, applicable law, and contractual agreements. Unless otherwise specified, Customers may use AI-generated outputs produced for their organization in accordance with these Terms.
Open Source Components
Certain components within SynIntel may include open-source software governed by applicable open-source licenses. Such components remain subject to their respective license terms.
15. Confidentiality
Both parties acknowledge that confidential information may be disclosed during the course of using the Services. Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care.

Confidential Information may include:

- Financial information
- Customer Data
- Technical documentation
- Product roadmaps
- Source code
- AI configurations
- Security information
- Pricing
- Commercial terms
- Trade secrets
Exclusions
Confidential Information does not include information that:
- Is publicly available without breach of these Terms.
- Was lawfully known before disclosure.
- Is independently developed without use of confidential information.
- Is lawfully received from another source without confidentiality obligations.
Non-Disclosure
Neither party shall disclose Confidential Information to third parties except:
- To employees or contractors with a legitimate need to know;
- As required by law; or
- With prior written consent of the disclosing party.
Protection of Confidential Information
Each party agrees to implement appropriate administrative, technical, and organizational safeguards to protect Confidential Information against unauthorized access, disclosure, alteration, or destruction.
Return or Destruction
Upon termination of the applicable agreement, each party shall return or securely destroy Confidential Information in its possession, unless retention is required by law or contract.
Survival
Confidentiality obligations survive termination or expiration of these Terms for the period specified in the applicable agreement or, if not specified, for a commercially reasonable period following termination.
16. Privacy & Data Protection

Privacy Policy
Customer use of the Services is also governed by the SynIntel Privacy Policy, which forms an integral part of these Terms. The Privacy Policy explains:

Customers should review the Privacy Policy before using the Services.
Data Protection
SynIntel processes Customer Data solely for the purpose of providing the Services requested by the Customer. We implement technical and organizational safeguards designed to protect Customer Data against unauthorized access, disclosure, alteration, and destruction.
Customer Data Ownership
Customers retain ownership of all Customer Data, Enterprise Knowledge, AI prompts, AI-generated outputs, dashboards, reports, configurations, and business information processed within SynIntel. Nothing in these Terms transfers ownership of Customer Data to SynIntel.
Data Processing
Where SynIntel processes Personal Data on behalf of a Customer, SynIntel acts as a data processor or service provider unless otherwise agreed in writing. Customers remain responsible for determining:
- The purposes of processing
- Data classifications
- Retention periods
- User permissions
- Regulatory compliance
Data Residency
Depending on the deployment model, customers may select preferred deployment regions or customer-managed environments to satisfy data residency, regulatory, or contractual requirements. Availability of regional deployment options may vary by subscription and infrastructure provider.
Data Processing Addendum (DPA)
Enterprise customers requiring additional contractual commitments regarding Personal Data processing may enter into a separate Data Processing Addendum (DPA). Where executed, the DPA supplements these Terms and governs Personal Data processing activities.
Cross-Border Processing
Where Customer Data is transferred across jurisdictions, SynIntel implements appropriate contractual, organizational, and technical safeguards consistent with applicable data protection laws.
Customer Privacy Responsibilities
Customers are responsible for:
- Obtaining all necessary consents
- Providing required privacy notices
- Uploading information lawfully
- Configuring retention policies
- Managing user permissions
- Meeting applicable regulatory obligations
17. Security
Protecting customer information is a core design principle of SynIntel. SynIntel implements security controls intended to protect platform infrastructure, customer environments, AI processing, enterprise knowledge, and connected systems.

Security considerations are incorporated throughout the software development lifecycle, including product design, development, testing, deployment, and ongoing operations.

SynIntel supports enterprise authentication capabilities including:

SynIntel maintains documented incident response procedures designed to identify, investigate, contain, remediate, and recover from security events. Where required by law or contract, affected customers will be notified of security incidents involving Customer Data.
Customer Security Responsibilities
Customers remain responsible for:
- Protecting credentials
- Managing permissions
- Securing connected systems
- Configuring security policies
- Reviewing audit logs
- Enabling MFA where appropriate
- Classifying sensitive information
18. Availability & Service Levels
SynIntel is designed to provide reliable enterprise services while recognizing that periodic maintenance, upgrades, and unforeseen events may affect availability. Service commitments may vary depending on the customer's subscription and contractual agreements.
Service Availability
SynIntel will use commercially reasonable efforts to maintain the availability of the Services in accordance with the applicable Service Level Agreement (SLA), if any. Specific uptime commitments, support response times, and service credits are defined in the customer's subscription or SLA.
Planned Maintenance
SynIntel may perform scheduled maintenance to improve security, reliability, or platform functionality. Where practical, customers will receive advance notice of planned maintenance that may materially affect service availability.
Emergency Maintenance
SynIntel may perform emergency maintenance without prior notice when necessary to:
- Protect platform security
- Resolve critical incidents
- Prevent data loss
- Address service degradation
- Respond to legal or regulatory requirements
Beta & Preview Features
From time to time, SynIntel may provide beta, preview, or early-access features. Unless otherwise stated:
- Such features are provided “as is”
- May contain defects
- May change without notice
- May not be suitable for production use
- May have limited support
Customer feedback on preview features is appreciated but not required.
Service Interruptions
SynIntel shall not be liable for temporary service interruptions resulting from:
- Internet outages
- Customer infrastructure failures
- Third-party provider disruptions
- Force majeure events
- Emergency maintenance
- Customer configuration errors
Disaster Recovery
SynIntel maintains backup and business continuity procedures appropriate to the deployment model and customer subscription. Recovery objectives may vary based on contractual commitments.
19. Fees & Billing
Customers agree to pay all applicable fees associated with their subscription in accordance with the applicable Order Form, Subscription Agreement, or commercial agreement.
Subscription Fees
Subscription fees are based on the services, deployment model, licensed users, AI consumption, storage, support level, or other commercial metrics agreed between the parties.
Usage-Based Charges
Certain platform capabilities may be billed based on actual usage, including but not limited to:
- AI requests
- Token consumption
- Storage usage
- API calls
- Knowledge processing
- Additional connectors
- Premium AI models
- Overage consumption
Applicable pricing is defined in the customer's commercial agreement.
Taxes
Unless otherwise stated, fees do not include applicable taxes, duties, levies, or governmental charges. Customers are responsible for paying all applicable taxes except taxes based solely on SynIntel's income.
Payment Terms
Invoices are payable according to the payment terms specified in the applicable commercial agreement. Late payments may result in:
- Interest charges (where permitted by law)
- Suspension of Services
- Restriction of premium features
- Collection activities
Subscription Renewal
Recurring subscriptions renew according to the applicable commercial agreement unless terminated in accordance with those terms.
Price Changes
SynIntel may revise pricing for future subscription periods. Price changes will not affect the current subscription term unless otherwise agreed. Customers will be notified of material pricing changes prior to renewal where required by applicable agreements.
Refunds
Unless otherwise specified in writing, subscription fees are non-refundable. Any exceptions shall be governed by the applicable commercial agreement.
20. Warranty Disclaimer
SynIntel strives to provide reliable, secure, and high-quality enterprise services. However, except as expressly stated in a written agreement, the Services are provided on an “as available” and “as is” basis.
No Uninterrupted Service
SynIntel does not warrant that the Services will operate without interruption, delay, or error. Temporary interruptions may occur due to maintenance, infrastructure events, third-party services, or circumstances beyond SynIntel's reasonable control.
AI Limitations
Artificial Intelligence technologies have inherent limitations. AI-generated outputs:
- May be incomplete
- May contain inaccuracies
- May become outdated
- May require human verification
- May differ between AI models
Customers remain responsible for validating AI-generated content before relying upon it.
Third-Party Services
SynIntel does not warrant the availability, performance, or accuracy of third-party services, AI providers, APIs, databases, cloud platforms, or other external systems integrated with the Services.
Customer Data
SynIntel does not independently verify the accuracy, completeness, legality, or quality of Customer Data uploaded to the platform. Customers remain responsible for ensuring the accuracy and lawful use of Customer Data.
No Professional Advice
The Services are designed to assist business users and do not constitute legal, financial, accounting, tax, investment, medical, engineering, or other professional advice. Customers should consult qualified professionals before making decisions based on AI-generated outputs.
No Guaranteed Business Outcomes
While SynIntel is designed to improve productivity, business intelligence, and decision-making, SynIntel does not guarantee specific business outcomes, financial results, operational improvements, regulatory compliance, or return on investment. Actual results depend on many factors, including customer data quality, implementation, user adoption, configuration, and organizational processes.
Limited Warranties
Any warranties provided by SynIntel are limited to those expressly stated in the applicable Order Form, Subscription Agreement, Master Services Agreement (MSA), or Service Level Agreement (SLA). Except for such express warranties, SynIntel disclaims all other warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by applicable law.
21. Limitation of Liability
To the maximum extent permitted by applicable law, SynIntel's aggregate liability arising out of or relating to the Services, these Terms, or any related agreement shall not exceed the total fees paid by the Customer for the Services during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
Exclusion of Indirect Damages
Neither party shall be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages, including but not limited to:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of goodwill
- Loss of anticipated savings
- Business interruption
- Reputational damage
- Loss of data (except where caused by a party's breach of contractual obligations or applicable law)
This limitation applies regardless of the legal theory under which the claim is brought and even if the possibility of such damages has been advised.
AI-Assisted Decisions
SynIntel provides AI-generated insights, recommendations, dashboards, summaries, and other outputs to support business decision-making. Customers acknowledge that:
- AI-generated outputs are advisory in nature.
- Business decisions remain the responsibility of the Customer.
- SynIntel is not liable for decisions made based on AI-generated outputs.
- Customers should independently validate AI-generated information before acting upon it.
Third-Party Services
SynIntel shall not be responsible for losses resulting from:
- AI provider outages
- Cloud infrastructure failures
- Third-party APIs
- External integrations
- Customer-managed infrastructure
- Internet connectivity
- Customer configuration errors
Force Majeure
Neither party shall be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to:
- Natural disasters
- Floods
- Earthquakes
- Fires
- War
- Terrorism
- Government actions
- Internet failures
- Cyber attacks by third parties
- Utility failures
- Labor disputes
- Pandemics
The affected party shall use commercially reasonable efforts to minimize the impact of such events.
Customer Responsibility
Customers acknowledge that the effectiveness of the Services depends upon:
- Quality of Customer Data
- Configuration choices
- AI model selection
- User adoption
- Connected systems
- Business processes
Accordingly, SynIntel does not guarantee specific operational or business outcomes.
22. Indemnification
Each party agrees to indemnify the other party under the circumstances described in this section, subject to the limitations set forth in these Terms.
Customer Indemnification
The Customer agrees to defend, indemnify, and hold harmless SynIntel, its affiliates, employees, directors, officers, agents, and contractors from any third-party claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- Customer's misuse of the Services.
- Customer's violation of these Terms.
- Unauthorized or unlawful Customer Data.
- Violation of third-party intellectual property rights by Customer Data.
- Customer's violation of applicable laws or regulations.
- Customer's unauthorized use of AI-generated outputs.
SynIntel Indemnification
Subject to the limitations in these Terms, SynIntel agrees to defend and indemnify the Customer against third-party claims alleging that the SynIntel platform, when used in accordance with these Terms, directly infringes a valid copyright, patent, or trademark. This indemnity does not apply where the claim results from:
- Customer modifications.
- Third-party software.
- Customer Data.
- Customer integrations.
- Unauthorized use.
- Continued use after notification of infringement.
Indemnification Process
The party seeking indemnification shall:
- Promptly notify the other party of the claim.
- Provide reasonable cooperation.
- Allow the indemnifying party to control the defense and settlement, provided no settlement imposes obligations on the indemnified party without prior written consent.
23. Suspension & Termination
These Terms remain effective until terminated by either party in accordance with this section.
Suspension of Services
SynIntel may suspend access to all or part of the Services where reasonably necessary to:
- Protect platform security.
- Prevent fraud.
- Investigate suspected misuse.
- Respond to legal or regulatory obligations.
- Enforce these Terms.
- Address non-payment.
- Prevent disruption to other customers.
Where practical, SynIntel will provide advance notice and an opportunity to remedy the issue.
Termination by Customer
Customers may terminate the Services in accordance with the applicable Subscription Agreement, Order Form, or Master Services Agreement. Termination does not relieve the Customer of payment obligations incurred before the effective termination date.
Termination by SynIntel
SynIntel may terminate the Services if the Customer:
- Materially breaches these Terms and fails to cure the breach within the applicable cure period.
- Uses the Services unlawfully.
- Repeatedly violates the Acceptable Use Policy.
- Engages in fraudulent activities.
- Fails to pay undisputed fees.
Effect of Termination
Upon termination:
- Customer access to the Services may cease.
- Customer subscriptions expire.
- Administrative access is revoked.
- API access may be disabled.
- Scheduled jobs may stop executing.
- AI processing may cease.
Customer Data
Following termination:
- Customers may request export of Customer Data in supported formats during the applicable retrieval period, subject to the commercial agreement.
- After the retention period, SynIntel may securely delete or anonymize Customer Data unless retention is required by law or contract.
Surviving Provisions
The following sections survive termination to the extent applicable:

24. Governing Law & Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws specified in the applicable commercial agreement. If no governing law is specified, these Terms shall be governed by the laws of India, without regard to conflict-of-law principles.
Jurisdiction
Subject to any agreed arbitration provisions, the courts having jurisdiction over Pune, Maharashtra, India, shall have exclusive jurisdiction over disputes arising under these Terms.
Good Faith Negotiation
Before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith negotiations. Either party may request executive-level discussions to resolve the dispute.
Compliance with Laws
Each party agrees to comply with all applicable laws, regulations, export controls, sanctions, and governmental requirements relating to the Services.
Assignment
Neither party may assign these Terms without the prior written consent of the other party, except in connection with a merger, acquisition, corporate restructuring, or sale of substantially all assets.
Entire Agreement
These Terms, together with the Privacy Policy, applicable Order Forms, Subscription Agreements, Master Services Agreements, Service Level Agreements, Data Processing Addenda, and any other incorporated documents, constitute the complete agreement between the parties regarding the Services.
Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

Final Provisions
By accessing or using the Services, the Customer acknowledges that it has read, understood, and agrees to be bound by these Terms & Conditions. SynIntel is committed to providing secure, governed, and enterprise-ready AI capabilities while respecting customer ownership of data, protecting privacy, and enabling responsible adoption of artificial intelligence.
